Terms & Conditions of Use for Concur Expense – Trial Edition

Concur Technologies, Inc. (“Concur”) is pleased to offer you participation in our Concur Expense – Trial Edition program (“Program”), which consists of a free trial for individuals to access and use certain Concur online functionality through this web site to create actual expense reports during a limited 90-day trial use period from the date that you register to start the free trial (“Trial Period”).  In consideration for providing you with access and use of the Program, you hereby understand and agree to the terms and conditions of use specified below (“Terms”).

1. By accessing and using the Program, you agree to be bound by the Terms and all applicable law.  If you do not agree to be bound by the Terms and all applicable law each time you access and use the Program, or you do not have the authority to agree to or accept the Terms, then you may not access or use the Program.

2. Concur hereby grants you the limited right during the Trial Period to access and use the Program solely for your own use as contemplated by the Program, subject to the provisions of the Terms.

3. You understand and agree that Data may include your personal information and that Data will be transmitted over the Internet and, therefore, may be subject to interception by third parties.  You hereby represent, warrant, and covenant that: (a) all Data and other information you submit in connection with the Program will be current, accurate, and complete; and (b) you remain solely liable for all Data or other information you upload or submit in connection with the Program.  When you access the Program or send email to Concur, you are communicating with Concur electronically. You consent to receive communications from Concur electronically and agree that we may communicate with you by email or by posting notices on this web site.

6. If you use a password to access the Program or any portion of it, then you are responsible for maintaining the confidentiality of the password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur with your password.  In the event that the confidentiality of your password is compromised in any manner, you will notify Concur immediately. Concur may access at any time and use internally for any lawful purpose information stored on our systems, and may disclose such information to others including law enforcement agencies to protect our rights or property in response to legal process, or in a good faith belief that such disclosure is justified or required.  We may investigate any reported violation of our policies or complaints and take any appropriate action that we deem appropriate.  Concur has the right, but not the obligation, to take any action we deem appropriate, including but limited to action to investigate any complaints or reported violation of our policies, issue a warning, suspend or terminate your access and use of the Program at any time, and block, remove or edit any communication and materials that Concur believes in its sole discretion may violate applicable law, the Terms or a third party's rights.  Concur takes no responsibility and assumes no liability for any information posted or uploaded by you or any third party, or for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter.

8. Concur reserves the right to modify the Terms and the Program in its sole discretion from time to time and only Concur has the right to do so.  If the Terms are modified, Concur will post the new Terms on the web site and note the date they were last updated.  Any modification will be effective upon posting of the Terms as revised, and your use of the Program following the posting will constitute your acceptance of the new Terms. 

9. Notwithstanding anything to the contrary, Concur reserves the right, without notice and in its sole discretion, to terminate the Program and deny access and use of the Program.  You understand and agree that Concur shall have the right to destroy any Data or other information uploaded or submitted by you in connection with the Program at the end of the Trial Period or upon termination your right to access and use the Program.  Except for Sections 2 and 4 above, the provisions of the Terms shall continue to apply to you after the end of the Trial Period or termination of your right to access and use the Program.

10. THE PROGRAM AND THE MATERIALS PROVIDED HEREIN ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CONCUR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT WITH RESPECT TO THE PROGRAM, MATERIALS, CONTENT, SERVICES AND PRODUCT ON THIS WEB SITE. Indirect or attempted violations of the Terms, and actual or attempted violations by a third party on behalf of you, will be considered violations of the Terms by you.

13. Concur makes no claim or representation regarding, and accepts no responsibility for, the quality, content, nature or reliability of web sites accessible by any hyperlink from this web site or web sites linking to this web site.

14. The Program is operated from the United States and the Program and the Terms shall be governed by and construed in accordance with the laws of the state of Washington applicable to agreements made and entirely to be performed within Washington, without resort to its conflict of law provisions.  Regardless of where you access this web site, you agree that any action at law or in equity arising out of or relating to the Program or the Terms shall be filed and adjudicated only in the federal or state courts located in Seattle, Washington, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction and venue of such courts over any suit, action or proceeding arising out of these terms and conditions. This electronic document and any other electronic documents, policies and guidelines incorporated herein will be: (a) deemed for all purposes to be a "writing" or "in writing," and to comply with all statutory, contractual, and other legal requirements for a writing; (b) legally enforceable as a signed writing as against the parties subject to the electronic documents; and (c) deemed an "original" when printed from electronic records established and maintained in the ordinary course of business.  Electronic documents introduced as evidence in any proceeding will, if established and maintained in the ordinary course of business, be admissible to the same extent as business records in written form that are similarly established and maintained.

16. If any provision of the Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed to be severed from the rest of the Terms and shall not affect the validity and enforceability of any remaining provisions.

17. No waiver, express or implied, by either party of any breach of or default under the Terms will constitute a continuing waiver of such breach or default or be deemed to be a waiver of any preceding or subsequent breach or default.
